Technology Investment Agreements (TIAs): Flexible DoD Funding for High-Tech Industrial Acceleration

Technology Investment Agreements (TIAs) are specialized DoD funding mechanisms used when traditional procurement contracts, FAR-based vehicles, or standard research grants are not appropriate or sufficiently flexible. TIAs are designed to support advanced research, prototype development, and early commercialization in sectors where the Department of Defense needs rapid innovation, nontraditional industry participation, flexible intellectual property arrangements, or strong private-sector financing to accelerate transition. These agreements are especially valuable for robotics innovators, cybersecurity firms, trusted microelectronics developers, quantum and semiconductor manufacturers, advanced materials labs, and dual-use engineering companies seeking nontraditional acquisition structures.

TIAs function more like strategic public–private partnerships than standard awards. They allow the government and performer to negotiate intellectual property rights, data protections, commercialization expectations, revenue-sharing mechanisms, and field-of-use agreements that are difficult or impossible to implement under traditional grants or contracts. They are also well suited to situations where the DoD seeks industrial base resilience, manufacturing expansion, commercialization readiness, or early-stage technology adoption with measurable private-sector leverage.

Eligibility is broad, including universities, nonprofit research institutions, small or large for-profit companies, technology consortia, and dual-use innovation partnerships. However, TIAs require applicants to demonstrate:
• credible commercialization pathways or market access
• clear private-sector cost sharing or cash investment
• industry-relevant timelines and transition strategy
• negotiation of IP terms that balance federal needs and company incentives
• manufacturing or scaling potential appropriate to long-term DoD use

The core intent of TIAs is to encourage commercial commitment and private capital leverage, meaning that performers typically must contribute cash, in-kind resources, or cost-share commitments that demonstrate a serious path to market readiness. As a result, TIAs are best suited for organizations with prototype maturity, go-to-market plans, industrial partners, or investors willing to participate.

TIAs are governed under federal regulations that provide clear guidance on when the mechanism is appropriate, how IP negotiations are structured, and what cost-sharing expectations apply:

TIAs are powerful tools when the DoD seeks to accelerate emerging technology beyond laboratory research, negotiate flexible IP frameworks, or develop dual-use platforms where commercial scaling is essential to sustainability and national-security advantage.
